These Terms govern your use of Bakelytics (the “Service”), operated by Simargi Systems LLC (“we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Bakelytics is a hosted, subscription software service that connects to your online store and provides weekly production planning, ingredient cost and margin analysis, and shopping lists. It is delivered entirely online; there is no physical product and nothing to download.
The Service is billed as a recurring subscription, and may include a one-time setup fee. All fees are stated at the time of purchase. Your subscription renews automatically for successive billing periods until you cancel.
Your subscription grants you a limited, revocable, non-transferable right to access the hosted Service for as long as your subscription is active and in good standing. You are not buying a downloadable file, a copy of the software, or a perpetual license. When your subscription ends, your access ends.
Because access is granted immediately and is non-refundable, initiating a refund request or payment dispute (a “chargeback”) is a breach of these Terms. If a chargeback or dispute is filed, we may immediately suspend or terminate your account and access. We retain records of your agreement to these Terms, your account creation, and your usage of the Service in order to respond to any dispute.
You may cancel at any time to stop future billing. Cancellation stops further charges going forward; it does not refund charges already made. Upon cancellation or termination, your right to access the Service ends.
Your business data remains yours. We store and process it solely to provide the Service, keep it isolated from other customers, and do not sell it. You are responsible for the accuracy of the data and credentials you provide (for example, your store connection).
You agree not to misuse the Service, including: using it unlawfully; attempting to access another customer’s data; probing, scanning, or breaching security; or reselling or redistributing the Service without our written permission.
The Service is provided “as is,” without warranties of any kind. Analyses, margins, and figures are estimates to assist your decisions and are not financial advice. To the fullest extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the claim.
We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above. Your continued use of the Service after a change means you accept the revised Terms.
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.
